ABOUT THE PRESENTATION

In a recent Survey, India was rated 134 out 189 countries in “The Ease of Doing Business” . The Indian Industry was craving for friendlier Environment to do Business. There were vociferous demands for changes in the old companies’ act 1956 which was predominantly Regulatory and Compliance filled legislation, restraining freedom of operations. The Government also felt the need to update and make the Companies Act globally Compliant and more meaningful in the context of Investors Protection, Customer Interest and Industry Friendliness.

1st April 2014, therefore makes a historic moment and the beginning of a new era for the Corporate India. The Companies act 2013 assented by the President of India and notified in the gazette in August 2013 came into force with effect 1 April 2014.The new legislation is spread across 29 chapter’s 7 schedules and 470 sections. The Government has so far notified 282 sections and allied rules (Companies Act Rules 2014) The Thinking behind the new act is aimed at improving transparency and accountability in India’s corporate sector. The act when enacted fully is expected to provide for business friendly Corporate Regulations, E- Governance initiatives, good corporate governance, CSR structure enforcement, protection for shareholders / investors.

The presentation will critically analyze the various provisions under the act and comment on whether all the major reforms are in effect directed towards simplification of the legal system to ensure that it is easy to understand, implement and enables business. Or in other words, Try to find an answer to the Question “Has the Companies Act 2013 actually enhanced the ease of doing business or made it more difficult ?”

The Presentation will be highly beneficial for the CEO’s/ Directors/ HOD’s/ Corporate Executives of SMEs & Practicing Company Secretaries etc.

ABOUT THE SPEAKER

Sharda Balaji is Founder of NovoJuris, legal counselors focused on start-ups and SMEs in technology. In the last 5 years, NovoJuris has helped more than 500 businesses and is ranked as India’s top 6th in private equity deals outpacing some large law firms. She is an Independent Advisor for many technology companies.

Sharda earlier has worked with large Indian conglomerates and MNCs as their in house attorney on various projects including IPO, cross border transactions, acquisitions, takeover, mergers, collaborations, intellectual property for more than 12 years.
During Sharda’s earlier employment with Intel Technology India Pvt. Ltd., she was responsible for South Asia operations and in Puravanakara Projects raised about Rs. 900 crores through IPO. Her stint with Manipal Group was in a range of businesses like education, healthcare, lifestyle and consumer goods, brand valuations, real estate and more.

Sharda has interests in women businesses and chairs TiE Bangalore’s Special Interest Group for Women Entrepreneurs. She is the India trustee for Baalemane a loving home for orphan girls.

Sharda is a Lawyer and a Company Secretary, along with degree from Institute of Chartered Secretaries, UK. She has a Diploma in Intellectual Property Rights from National Law School of India, Bangalore and an advanced certificate course in Copyrights from World Intellectual Property Organisation.
